How long will it take to register my cc or (Pty) Ltd?
A shelf cc or pty is available immediately to you, however, for shelf companies new directors/members have to be lodged. This normally takes two to four weeks from the day of lodgement. The beauty of a shelf company is that you have an enterprise number that you can use immediately while awaiting formal documents from the Registrar. However, for opening a bank account, banks generally insist on waiting for documents from Pretoria.

For new cc or (Pty)Ltd the process takes 3 weeks on average, depending on the workload of the Registration office.

Which product is good enough for me? A (Pty)Ltd or a cc?
A cc was created specifically to make it easy to start a legal entity. In terms of requirements, a Pty(Ltd) tends to be more demanding than a cc. This makes a cc a lot more cheaper than a (Pty) Ltd. It is also cheaper to maintain a cc rather than a (Pty) Ltd because of Companies Act which applies to a (Pty) Ltd. There is however more prestige attached to operating a (Pty) Ltd than a cc. Do I need a lawyer to help me with company registration?
You do not need a lawyer for incorporation of a company. However, for any agreements that you and your fellow members or directors need to sign, a lawyers is highly recommended.

Are the shelf companies registered for VAT?
For a shelf entity to register for VAT, a business plan showing that the turnover will be more that R300 000 per annum will have to be provided. It is therefore not possible for us to project what the shelf will be used for. We can arrange VAT registration for your entity for only R350.

Do you sell vintage shelves (i.e entities registered a number of years back)?
We do not keep old shelf entities because we will be selling you entities that will have overdue tax returns and such baggage.

Can a non-resident incorporate a company in South Africa?
Any non-South African can incorporate a company in South Africa, however, if you also need to come to South Africa and run the business, you need relevant work permits offered by the Department of Home Affairs.
It is also possible to register an external company but you will need to use a South African address and a South African accounting officer for your South African office.

Can I select my own Accounting Officer?
The beauty of a shelf company is that you do not have to run around looking for an accounting officer at all. However, if you'd like to use your own, you are most welcome to specify this information in your application. Alternatively, you can change the accounting officer at any time after your documents have been delivered.
